1. Acceptance of these Terms

These Terms & Conditions ("Terms") are a binding agreement between you and Friend Indeed Limited ("Friend Indeed", "we", "us", "our") governing your use of the Friend Indeed mobile application and related services (the "App"). By downloading, accessing or using the App, or by tapping "I agree", you accept these Terms and our Privacy Policy, Community Guidelines and Safety & Fraud Policy, which are incorporated by reference. If you do not agree, do not use the App.

2. Eligibility and age

You must be at least 18 years old and have the legal capacity to enter into these Terms. The App is not available to anyone previously suspended or removed. You may not use the App if you are located in, or are a national or resident of, any country or region subject to comprehensive sanctions, or if you are on any applicable sanctions or denied-party list (Section 12). You are responsible for ensuring your use of the App is lawful where you live.

3. What Friend Indeed is

Friend Indeed is a private, closed-circle social notification and communications utility. It lets you post a request for help and notifies your mutual contacts — people you have saved in your phone who have also saved you — so they may choose to help you, including by sending you a personal gift of money using their own external payment methods. A help request is visible only within your closed circle of mutual contacts; it is not broadcast to strangers or the public.

Friend Indeed is a technology platform only. We connect people and facilitate the discovery of, and notification about, help requests. We are not a party to any arrangement, communication, promise or transfer of money between users. We do not solicit gifts on anyone's behalf.

4. No handling of funds — our most important term

Platform-status disclaimer. Friend Indeed is solely an informational, social communications utility. We are NOT a bank, financial institution, credit union, money transmitter, money-services business, payment processor or payment-initiation service, escrow agent, custodian, wallet or stored-value provider, lender, broker, investment adviser, or charity or fundraising platform. We do not hold, receive, possess, control, route, manage, escrow, transmit, clear, guarantee, insure or refund funds at any time.

Transfers happen entirely outside the App. Any gift, donation, help or transfer of money occurs entirely externally to, independently of, and decoupled from the App, directly between users, using independent third-party payment methods (for example bank transfer, mobile money, a standalone P2P payment app, or cash) chosen solely by the users themselves. We are not a party to those transactions, charge no fee per transfer, take no percentage of any amount transferred, and have no visibility into, or record confirming, whether any transfer was offered, sent, received, or repaid.

No wallet, no balance. The App provides no virtual account, stored-value balance, or electronic-money wallet, and no payout facility.

These statements support the App's status under, among others: U.S. FinCEN money-transmitter rules (we exercise no "control" over funds); the U.S. state money-transmission laws; the EU PSD2 "technical service provider" exclusion (Art. 3(b)) and the absence of any entry into possession of funds; the UK Payment Services Regulations 2017 (we do not initiate or execute payment orders — the payer acts independently through their own banking or payment app); Canada's FINTRAC/PCMLTFA money-services-business framework (we accept no cash, remit no funds, and charge no per-transfer fee); and Nigeria's payment-services and securities/crowdfunding regimes (we are a social-support networking utility, not a regulated crowdfunding intermediary or payment service). The optional subscription/feature fees in Section 7 are software fees for app features only and are never fees for moving money.

5. Gifts — not charity, loans, or investments

Help on Friend Indeed takes the form of voluntary personal gifts between individuals who know one another. To keep the App lawful and within app-store rules, the following apply:

You register with your telephone number, verified by one-time code, and your name. You are responsible for your account and for activity under it, for keeping your device and number secure, and for the accuracy of your profile. Tell us promptly of any unauthorised use. You may delete your account at any time in the App ([Settings → Account → Delete Account]) or via [https://www.friendindeed.example/delete-account]; deletion is handled as described in the Privacy Policy.

The App is free to use for posting help requests and for being notified of and responding to your friends' requests. We offer two optional paid features, which unlock app functionality only and are entirely separate from, and never required for, giving or receiving help:

8. Acceptable use and prohibited conduct

You agree to use the App lawfully and honestly, and in line with our Community Guidelines. You warrant that everything you post — every statement, description, image and context in a help request or profile — is accurate, truthful, non-misleading and lawful. You must not:

9. Your content and the licence you grant

You keep ownership of the content you post (help requests, images, profile details). To operate the App, you grant us a worldwide, non-exclusive, royalty-free, sub-licensable licence to host, store, reproduce, adapt (for formatting), and display your content to your mutual contacts and as needed to provide, secure and improve the App. This licence ends when you delete the content or your account, except for residual backup copies and where we must retain content for legal, safety or fraud-prevention reasons. You are solely responsible for your content and warrant you have the rights to post it.

10. Moderation, reporting, blocking and suspension

Help requests are user-generated content. To keep the App safe and to meet app-store requirements, the App provides, and you agree to, the following:

Where your account is terminated, your right to use the App ends immediately; Sections that by their nature should survive (including 4, 5, 11–18, 21–24) will survive. We aim to give notice and a route to appeal a removal or suspension where appropriate, but may act immediately in serious cases.

11. We do not verify requests — verify recipients yourself

Friend Indeed does not verify, vet, endorse or guarantee any user, the truth of any help request, the genuineness of any need, or that any help will be sent, received, or used as described. Requests are unverified unless we expressly state otherwise, and any limited checks we may perform do not amount to a guarantee. You decide whether, whom, and how much to help, at your own risk, and you are responsible for confirming a recipient's identity and the legitimacy of a request before sending any money. Because money moves outside the App, we cannot reverse, recover, refund, or compel any transfer.

12. Fraud, anti-money-laundering, sanctions & law-enforcement cooperation

Even though we never move money, we prohibit and act against unlawful use. You must not use the App for money laundering, terrorist financing, fraud, or sanctions evasion. We reserve the right to investigate suspected misuse; to preserve relevant data; to suspend or remove accounts; and to report suspected fraud or unlawful activity, and to disclose data, to competent authorities — including, in Nigeria, the Economic and Financial Crimes Commission (EFCC) and the Nigerian Financial Intelligence Unit (NFIU), and equivalent bodies elsewhere — where we believe in good faith this is required by law or necessary to prevent harm. You must comply with all applicable sanctions and export-control laws and warrant you are not a sanctioned or denied party.

13. No professional advice; your tax responsibilities

Nothing in the App is financial, investment, banking, accounting, tax, legal or charitable advice. Gifts may have tax or benefit consequences depending on your circumstances and country. You are solely responsible for determining and meeting any tax, reporting, gift-rule or other legal obligations arising from money you give or receive. We do not issue tax receipts.

14. Disclaimer of warranties

The App is provided "as is" and "as available", without warranties of any kind, whether express, implied or statutory, including any implied warranties of merchantability, fitness for a particular purpose, title, accuracy, and non-infringement, to the maximum extent permitted by law.

We do not warrant that the App will be uninterrupted, secure, error-free, or available at any particular time; that notifications will be delivered, read, or acted upon; or that any request will be answered or any amount received. We are not responsible for the acts, omissions, content, or solvency of any user, or for any third-party payment method or service. We may modify, suspend or discontinue any part of the App, and we are not liable for events beyond our reasonable control (force majeure), including outages, network or device failures, natural events, or acts of third parties.

Not an emergency, medical or disaster-relief service. Friend Indeed is not an emergency, medical, healthcare, crisis, or disaster-relief service and must not be relied on as one. If you or anyone else is in danger or needs urgent help, contact your local emergency services immediately. A help request is not a substitute for professional, medical, or emergency assistance, and we do not provide medical, health, financial-hardship, or crisis advice.

15. Limitation of liability

To the maximum extent permitted by law, Friend Indeed Limited and its officers, directors, employees, contractors and agents will not be liable for any indirect, incidental, special, consequential, exemplary or punitive damages, or for any loss of money sent or not received, loss of profits, goodwill, data, or opportunity, arising out of or relating to the App or these Terms, whether in contract, tort, or otherwise, even if advised of the possibility.

To the maximum extent permitted by law, our total aggregate liability for all claims relating to the App or these Terms will not exceed the greater of (a) the total amount you paid us for optional paid features in the 12 months before the event giving rise to the claim, or (b) [e.g., USD 50 / NGN equivalent].

In particular, and without limiting Section 4, we are not liable for failed, fraudulent, partial, or non-existent gifts, for false or misleading requests, for the conduct of any user, or for any third-party payment system or outage. Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited — including, where applicable, liability for death or personal injury caused by negligence, for fraud, or under mandatory consumer-protection law (Section 23).

16. Indemnification

To the extent permitted by law, you agree to indemnify and hold harmless Friend Indeed Limited and its personnel from any claims, liabilities, damages, losses and reasonable expenses (including legal fees) arising out of or related to: your use of the App; your content or help requests; your misrepresentation of need; any money you give or receive; your taxes; your breach of these Terms or the law; or your infringement of any third-party right. This Section does not apply to the extent a loss arises from our own breach or is not lawfully recoverable from a consumer.

17. Intellectual property

The App, and all software, design, text, graphics, logos and the "Friend Indeed" name and marks, are owned by or licensed to Friend Indeed Limited and protected by intellectual-property laws. We grant you a limited, personal, non-exclusive, non-transferable, revocable licence to use the App for its intended purpose. You may not copy, modify, distribute, sell, lease, or create derivative works of the App, or use our marks, without our prior written consent.

We respect intellectual-property rights. If you believe content on the App infringes your copyright, send a notice to [copyright@friendindeed.example] including: identification of the work; identification and location of the allegedly infringing content; your contact details; a statement of good-faith belief that the use is unauthorised; a statement, under penalty of perjury, that your notice is accurate and you are authorised to act; and your signature. We will remove or disable infringing content and terminate repeat infringers. A counter-notice procedure is available to affected users.

19. Privacy

Our Privacy Policy explains how we handle personal information, including how contact-matching works, your rights, and how to delete your account. By using the App you acknowledge that Policy.

20. Apple and Google app-store terms

If you obtained the App from the Apple App Store or Google Play, you also agree to the applicable store terms, and the following apply:

21. Changes to these Terms

We may update these Terms from time to time. For material changes we will give reasonable notice in the App or by other means before they take effect and update the version/date above. Continued use after changes take effect means you accept them; if you do not agree, stop using the App and delete your account.

22. Governing law and disputes

These Terms, and any dispute or claim arising out of or in connection with them or the App, are governed by the laws of the Federal Republic of Nigeria, without regard to conflict-of-laws rules. Subject to Section 23, the courts of Lagos State, Nigeria (and the Federal High Court sitting in Lagos) have jurisdiction. We will try to resolve disputes informally first — please contact us (Section 25) before bringing a claim.
